Terms of Service

These Prokerala API Terms of Service describe Your rights and responsibilities when accessing or using our publicly available APIs, related API documentation, developer services, and associated services.

Overview

Thank you for using Prokerala API. Please read these Terms and Conditions carefully before using Our Service.

These Prokerala API Terms of Service ("Terms") constitute a legal agreement between You and Ennexa Technologies Private Limited, a company incorporated under the Companies Act 1956/2013 and having its registered/corporate office at Kochuparambil, Manarcadu P.O., Kottayam – 686019, Kerala, India.

By accessing or using the Prokerala API or Services, You agree to these Terms.

Definitions

“Access Codes” means the necessary security keys, secrets, tokens, passwords, client credentials, and/or other credentials used to access the APIs.

“Account” (also referred to as “Developer Account”) means a User's authorization to log in to and use the Service and serves as the User's identity on Prokerala.

“API” means Application Programming Interface, including a set of routines, protocols, interfaces, and tools for building software applications.

“Application” (also referred to as “App” or “API Client”) means any software application, web application, website, product, service, or interface You create, own, operate, or offer using the Prokerala API or Access Codes, including a Private Application, Custom Application, or Public Application.

“API Documentation” means documentation, specifications, data, instructions, examples, and information that Prokerala provides regarding the use of the Prokerala API through the Developer Site or otherwise.

“Company” (also referred to as “the Company”, “Ennexa”, “We”, “Us”, or “Our”) means Ennexa Technologies Private Limited.

“Confidential Information” means non-public business, technical, commercial, security, pricing, product, customer, project, integration, source-code, API credential, or other proprietary information disclosed by one party to the other in connection with the Services that is identified as confidential or that reasonably should be understood to be confidential considering its nature and the circumstances of disclosure.

Confidential Information does not include information that:

  1. becomes publicly available without breach of these Terms;
  2. was lawfully known to the receiving party without confidentiality restrictions before disclosure;
  3. is lawfully received from a third party without a confidentiality obligation;
  4. is independently developed without use of the disclosing party's Confidential Information; or
  5. is released from confidentiality restrictions by the disclosing party in writing.

“Credits” (also referred to as “Credit Units” or “Credit Packages”) means non-convertible, non-refundable units having no independent monetary value that are used across Prokerala API Services and consumed for specified transactions, including API calls. The number of Credits provided and consumed may depend upon the applicable Plan and API.

“Data” means any data, content, calculations, reports, information, or other material made available to You through the Service.

“Developer” means a person or entity that develops, owns, or operates one or more Applications that access or use the Prokerala API.

“Developer Site” means Prokerala's developer website at https://api.prokerala.com/.

“Duration” means the period commencing on the date You become bound by these Terms and ending when these Terms are terminated in accordance with their provisions.

“End User” means an individual whose information is collected, submitted, transmitted, or processed through an Application, website, product, service, or other system operated by You that uses the Prokerala API.

“Plan” (also referred to as “Pricing Plan”) means a pricing or usage plan available in connection with access to Prokerala API Services, including Plans described at https://api.prokerala.com/pricing.

“Prokerala API” means all software, routines, data structures, object classes, protocols, programs, templates, libraries, interfaces, APIs, SDKs, developer tools, technical documentation, Updates, data, algorithms, methodologies, and related materials made available by Prokerala at https://api.prokerala.com/ or otherwise provided to You.

“Prokerala Brand” means the Prokerala name, logos, trademarks, service marks, trade names, and other brand assets.

“Service” or “Services” means the Prokerala API, Developer Site, API Documentation, developer services, related systems, guides, materials, technologies, software, applications, Data, reports, text, images, and other content made available by or on behalf of Prokerala in connection with access to or use of the Prokerala API.

“Service Data” means operational, technical, statistical, diagnostic, usage, performance, security, and analytical information generated or collected by Prokerala in connection with the operation, administration, security, or use of the Services. Service Data does not include Your Data in a form that identifies an End User except where required to provide, secure, support, or administer the Services or as permitted by applicable law.

“Subscription” means Your subscription to the Services through a Plan selected by You.

“Subscription Fees” means fees charged based on the Plan You choose for the Services.

“Terms and Conditions” (also referred to as “Terms” or “Agreement”) means these Terms and Conditions.

“Updates” means bug fixes, updates, upgrades, enhancements, modifications, new releases, replacements, and versions of the Prokerala API.

“You”, “Your”, or “User” means the individual, company, organization, developer, or other legal entity accessing or using the Service. If You access or use the Service on behalf of a company or organization, You represent that You are authorized to accept these Terms and bind that entity.

“Your Data” means information, data, content, or personal information that You or Your End Users submit or transmit to Prokerala through the APIs or Services.

Depending on the API being used, Your Data may include information such as:

  • name;
  • date of birth;
  • time of birth;
  • place of birth;
  • geographical coordinates;
  • gender;
  • contact information;
  • information contained in API request parameters; and
  • other information submitted by You that is necessary or relevant to generate the requested API response.

Your Data does not include the Prokerala API, Data supplied by Prokerala, API responses as such, Prokerala's algorithms or methodologies, Service Data, or aggregated, anonymised, or de-identified information that does not identify You or an End User.

Prokerala Astrology API Service

Prokerala Astrology API provides automation capabilities for integrating astrology-related information, calculations, reports, and functionality into Applications by making API calls over HTTP or through other interfaces made available by Prokerala.

Different astrological traditions, calculation methods, settings, parameters, reference systems, and interpretations may produce different results.

Acknowledgement

All use of Prokerala APIs, documentation, code, Data, and related materials made available to You by Us is subject to and must comply with:

  1. this Agreement;
  2. Prokerala's Privacy Policy; and
  3. the documentation, technical requirements, policies, and guidelines accompanying the applicable Prokerala APIs.

By accessing or using the Service, You agree to be bound by these Terms and Conditions. If You disagree with any part of these Terms, You may not access or use the Service.

You represent that You are at least 18 years of age and have the legal capacity and authority to enter into this Agreement.

If You use the Services on behalf of another person, company, organization, or legal entity, You represent and warrant that You have authority to bind that person or entity to these Terms.

By accessing or otherwise using the Prokerala API, You acknowledge that You have read and understood these Terms and agree to be bound by them. If You are dissatisfied with the terms, policies, guidelines, or practices of Prokerala, Your sole remedy is to discontinue using the Prokerala API.

You agree that the Service or Data may contain technical identifiers, markers, seeds, or other mechanisms designed to identify unauthorized use, copying, or redistribution, and You agree not to remove, disable, obscure, or interfere with them.

Account and Registration

Company Information

Prokerala.com and the Prokerala APIs are owned and operated by Ennexa Technologies Private Limited, an Indian technology company incorporated under the Companies Act 1956/2013 and having its registered/corporate office at:

Relationship

You and Prokerala are independent parties. No partnership, joint venture, agency, fiduciary, employment, or franchisor-franchisee relationship is intended or created by these Terms.

Scope of License

Grant of License

Subject to these Terms, Prokerala grants You a worldwide, non-exclusive, royalty-free, non-transferable, non-sublicensable, revocable, and limited license to use and make calls to the Prokerala API solely in connection with developing, implementing, operating, and distributing Your Application that interoperates or integrates with the Service, and solely in the manner permitted by these Terms and the applicable API Documentation.

Use of Prokerala API Data & Services and the Prokerala API is licensed and not sold.

Subject to Your compliance with this Agreement, You may receive, process, and display Prokerala API Data & Services to individual End Users of Your Applications, provided Your use complies with these Terms, the applicable Plan, and the API Documentation.

No rights are granted to You except those expressly provided in these Terms.

Intellectual Property

All rights, title, and interest in and to the Prokerala API, Services, software, SDKs, API Documentation, algorithms, computational methods, astrology calculation methods and implementations, database structures, schemas, output formats, reports, designs, trademarks, technology, and related materials are and shall remain owned by Prokerala, Ennexa, or their respective licensors.

Nothing in these Terms transfers ownership of Prokerala's intellectual property to You.

Except for the limited rights expressly granted under these Terms, no intellectual property rights are granted or licensed to You, whether by implication, estoppel, or otherwise.

Your ownership of Your own Application and Your Data is not affected by this section, except to the extent Your Application incorporates or uses Prokerala intellectual property, Data, or other materials under the license granted by these Terms.

Feedback

If You provide suggestions, ideas, recommendations, corrections, enhancement requests, or other feedback relating to the Services, You grant Prokerala a worldwide, perpetual, irrevocable, royalty-free, transferable, and sublicensable right to use, reproduce, modify, implement, commercialize, and otherwise exploit such feedback without restriction or obligation to You.

Use of License

Restrictions

In addition to other restrictions contained in these Terms, You agree not to do any of the following unless expressly permitted by Prokerala in these Terms or in writing:

  1. Register a Developer Account by fraudulent, misleading, or unauthorized means.

  2. Provide false, incomplete, or materially misleading Account or business information.

  3. Allow unauthorized persons to access Your Developer Account or Access Codes.

  4. Sell, transfer, sublicense, disclose, publish, or otherwise fail to protect the confidentiality of Access Codes or non-public materials available through the Developer Site.

  5. Defame, abuse, harass, stalk, threaten, or unlawfully harm others.

  6. Modify, circumvent, bypass, defeat, disable, or interfere with Access Codes, authentication mechanisms, security controls, rate limits, technical restrictions, usage controls, or other protective measures employed by Prokerala.

  7. Obtain or use multiple Developer Accounts for the purpose of avoiding usage limits, fees, restrictions, suspensions, or enforcement measures.

  8. Scrape, crawl, systematically download, extract, harvest, reproduce, or transmit any portion of the Prokerala website, Service, or Data except as expressly permitted through the API.

  9. Transmit viruses, worms, Trojan horses, malicious code, destructive content, or anything intended to compromise the security, integrity, or operation of Prokerala or another system.

  10. Probe, scan, penetration-test, vulnerability-test, or otherwise test the security of the Services without Prokerala's prior written authorization.

  11. Use the APIs in an Application that contains, facilitates, displays, distributes, or promotes unlawful activities or content, spyware, malware, counterfeit goods, unlawful hate material, terrorism or unlawful violence, illegal drugs, unlawful sale of prescription medicines or medical devices, pornography, prostitution, or unlawful gambling.

  12. Transmit spam or submit content that is unlawful, fraudulent, harmful, obscene, defamatory, discriminatory, or otherwise violates applicable law or third-party rights.

  13. Use the APIs for purposes where failure, delay, error, or inaccurate operation could reasonably lead to death, personal injury, severe property damage, or environmental damage.

  14. Use the APIs or Data in violation of intellectual property, privacy, confidentiality, contractual, publicity, data protection, or other rights of Prokerala or any third party.

  15. Use the Prokerala API or Data to create, replicate, train, populate, or provide a competing API, database, astrology data service, calculation service, or substantially similar standalone service through systematic extraction or reproduction of Prokerala's Data or functionality without prior written permission.

  16. Redistribute, syndicate, sublicense, sell, lease, or expose the Prokerala API or Data as a standalone service or provide third parties with direct or substantially equivalent access to the Prokerala API.

  17. Reverse engineer, decompile, disassemble, derive source code from, decode, translate, or attempt to discover the source code, algorithms, architecture, computational methods, database structure, or technical implementation of the Prokerala API, software, SDKs, or Services, except to the limited extent such restriction is expressly prohibited by applicable law.

  18. Use the Service or astrology outputs as the sole basis for medical, legal, financial, investment, credit, insurance, employment, safety-critical, or other decisions that may materially affect the rights, health, safety, finances, or legal interests of an individual.

  19. Misrepresent astrology information or API responses as guaranteed predictions, professional advice, or statements of fact where such characterization would be misleading.

  20. Use the Service in any manner that Prokerala reasonably determines creates excessive load, security risk, legal exposure, reputational harm, or material interference with the Services or other users.

  21. Assist, permit, authorize, or encourage another person to engage in conduct prohibited by these Terms.

Your Responsibility to Safeguard

You shall use appropriate safeguards and take reasonable steps to protect the Prokerala API, Data, Access Codes, and Services from unauthorized reproduction, publication, disclosure, access, modification, distribution, or use.

You are responsible for the security of Your Application and systems through which the Prokerala API is accessed.

If You become aware of unauthorized access to Your Account, Access Codes, the API, or Prokerala Data, You shall promptly notify Prokerala at support@prokerala.com.

Misuse of the Licensed Product

If You or Your End Users use the Prokerala API, Data, or Services in violation of this Agreement, Prokerala may, without limiting any other available rights or remedies:

  • restrict, throttle, suspend, or terminate access;
  • revoke or rotate Access Codes;
  • require remedial action;
  • impose applicable usage or overage charges;
  • preserve evidence of misuse;
  • seek injunctive or equitable relief; and
  • recover damages or losses to the extent permitted by applicable law.

Non-Exclusivity

You acknowledge and agree that these Terms and the license and other rights granted herein do not create an exclusive relationship between You and Prokerala.

Prokerala may develop, acquire, operate, license, or support products and services that compete with Your Application or other products and services offered by You, and may permit others to do so.

Developer Account & Access Codes

To obtain Access Codes, You must create an Account through Prokerala's Developer Site or another process authorized by Prokerala.

You may not sell, transfer, sublicense, or otherwise disclose Your Access Codes to an unauthorized party.

You are responsible for maintaining the secrecy and security of Your Access Codes.

If You become aware of unauthorized use of Your Access Codes, You agree to notify Prokerala promptly.

You are responsible for all activities conducted through Your Account or Access Codes, whether or not specifically authorized by You, except to the extent directly caused by Prokerala's own breach of an express obligation under these Terms.

You are responsible for ensuring that Developer Account information supplied by You remains accurate, current, and complete.

Prokerala may require You to verify Your identity, business details, contact information, payment information, intended use, or other Account information at any time.

Failure to provide or maintain accurate Account information may result in suspension or termination of the Account or Access Codes.

Your Relationship With Your End Users

You are solely responsible for Your relationship with Your End Users and for Your Application's compliance with applicable law.

If You collect information from End Users and submit that information to Prokerala, You represent and warrant that You have all rights, permissions, consents, notices, and other lawful authority required to collect, use, process, disclose, and submit that information to Prokerala for the purposes contemplated by the Services.

You must provide End Users with any notices and obtain any consents required under applicable law relating to Your collection and processing of their information and its transmission to Prokerala.

You must not submit personal information to Prokerala unless You are legally authorized to do so.

Where information relates to a child or minor, You are responsible for obtaining any parental, guardian, or other authorization required by applicable law before submitting such information.

Prokerala is entitled to rely on Your representations regarding Your authority to submit Your Data and is not required to independently verify the relationship between You and an End User or the validity of permissions obtained by You.

You are responsible for all claims, complaints, requests, representations, warranties, services, advice, transactions, and obligations arising between You and Your End Users in connection with Your Application, except to the extent expressly assumed by Prokerala under a separate written agreement.

Your Data

As between You and Prokerala, You retain any ownership rights that You lawfully hold in Your Data.

You grant Prokerala and its affiliates, contractors, infrastructure providers, and service providers the rights reasonably necessary to receive, host, copy, transmit, cache, store, process, analyze, and otherwise use Your Data for purposes including:

  • receiving and processing API requests;
  • generating API responses;
  • authenticating and authorizing requests;
  • providing and operating the Services;
  • providing technical and customer support;
  • maintaining reliability and performance;
  • detecting, investigating, and preventing fraud, misuse, security incidents, and abuse;
  • troubleshooting errors;
  • maintaining operational, security, billing, and audit records;
  • administering Accounts and billing;
  • enforcing these Terms;
  • complying with legal obligations; and
  • protecting Prokerala, its users, the Services, and third parties.

Prokerala does not acquire ownership of Your Data merely because it is transmitted through the Services.

You are responsible for the accuracy, quality, legality, and completeness of Your Data.

Prokerala is not responsible for errors in an API response resulting from inaccurate, incomplete, incorrectly formatted, ambiguous, or otherwise defective information submitted by You.

Aggregated, Anonymised and Service Data

Prokerala may collect, generate, retain, analyze, and use Service Data and aggregated, statistical, anonymised, or de-identified information for purposes including:

  • operating and administering the Services;
  • measuring API usage and performance;
  • capacity planning;
  • analytics;
  • detecting abuse and security threats;
  • improving algorithms, products, and Services;
  • product and business development;
  • research;
  • billing and commercial analysis; and
  • other legitimate business purposes,

provided such information is used in accordance with applicable law.

Nothing in these Terms transfers ownership of Prokerala's Service Data, analytics, methodologies, algorithms, or derived operational information to You.

Data Protection

Each party is responsible for complying with data protection and privacy laws applicable to its own activities.

The respective legal roles and obligations of You and Prokerala in relation to particular processing activities shall be determined by the nature and purposes of that processing and applicable law.

Nothing in these Terms creates a representation that Prokerala acts solely as a data processor, service provider, data fiduciary, controller, or equivalent legal role for all information processed through the Services.

Where additional data-processing terms are required by applicable law or agreed in writing, those additional terms shall apply to the relevant processing.

Prokerala may process information for its own legitimate operational purposes to the extent permitted by applicable law, including security, fraud and abuse prevention, service administration, billing, analytics, legal compliance, and enforcement of these Terms.

Additional information regarding Prokerala's processing of personal information is provided in the Prokerala Privacy Policy.

Confidentiality

Each party receiving Confidential Information shall use reasonable measures to protect it from unauthorized disclosure and shall use it only in connection with the Services, the applicable business relationship, or as otherwise permitted by these Terms.

Prokerala may disclose Confidential Information to its affiliates, employees, contractors, infrastructure providers, professional advisers, auditors, insurers, payment providers, financing sources, prospective investors, purchasers, or successors where reasonably necessary and subject to appropriate confidentiality obligations or professional duties.

Either party may disclose Confidential Information where required by applicable law, legal process, court order, governmental authority, or regulatory requirement.

Where legally permitted and reasonably practicable, Prokerala may notify You of a legally compelled disclosure.

Prokerala may also disclose information to the extent reasonably necessary to investigate fraud, abuse, security incidents, infringement, or violations of these Terms; protect the rights or safety of Prokerala or others; or establish, exercise, or defend legal claims.

Nothing in this section limits rights expressly granted elsewhere in these Terms, including Prokerala's rights under the Publicity section.

The confidentiality obligations in this section shall continue for three (3) years after disclosure of the relevant information, except that information constituting a trade secret shall remain protected for so long as it qualifies as a trade secret under applicable law.

API Changes, Updates and Deprecation

Prokerala may modify, update, replace, add to, restrict, suspend, or discontinue any API, endpoint, field, response format, authentication mechanism, feature, functionality, Data source, calculation method, or other component of the Services.

Prokerala may release Updates at any time and may require You to use a newer API or version.

Unless expressly agreed otherwise in writing, Prokerala does not guarantee backward compatibility or continued availability of any particular API version, endpoint, response field, calculation method, feature, or functionality.

Where reasonably practicable, Prokerala may provide advance notice of material breaking changes or discontinuation of a paid production API. Advance notice may be shortened or omitted where changes are necessary for security, legal or regulatory compliance, fraud or abuse prevention, third-party dependency changes, technical emergencies, or protection of the Services.

You are responsible for maintaining Your Application so that it remains compatible with supported versions of the Prokerala API.

Service Availability and Support

Prokerala will use commercially reasonable efforts to operate the Services but does not guarantee uninterrupted or error-free availability.

Unless expressly stated in Your Plan or a separate written agreement, no service-level agreement, uptime guarantee, response-time guarantee, support commitment, maintenance commitment, or service credit applies.

The Services may be unavailable or degraded due to maintenance, Updates, infrastructure failures, network conditions, third-party services, security incidents, excessive demand, force majeure events, or other circumstances.

Prokerala may perform scheduled or emergency maintenance without liability.

Support, if provided, may vary according to Your Plan.

Third-Party Services and Data

The Services may rely upon or interoperate with third-party infrastructure, networks, software, databases, data sources, geolocation services, payment providers, hosting providers, or other third-party services.

Prokerala does not control such third-party services and is not responsible for their availability, accuracy, performance, security, policies, acts, or omissions.

Prokerala may change third-party providers or data sources without notice where reasonably necessary to operate the Services.

Termination

You may terminate this Agreement or cancel Your Developer Account for any reason by discontinuing use of the APIs or closing Your Account where such functionality is available.

Prokerala may suspend, restrict, or terminate Your access to all or any portion of the APIs, Data, Account, Access Codes, or Services at any time if:

  1. You breach these Terms or applicable API Documentation;
  2. payment is overdue;
  3. Your use exceeds or circumvents applicable limits;
  4. Your use creates a security, operational, legal, financial, or reputational risk;
  5. Prokerala suspects fraud, abuse, unauthorized activity, or unlawful use;
  6. Your use adversely affects the Services or other users;
  7. suspension or termination is required or advisable for legal or regulatory reasons;
  8. a third-party dependency necessary to provide the Service becomes unavailable;
  9. Prokerala discontinues the relevant API or Service; or
  10. Prokerala otherwise reasonably determines suspension or termination is necessary to protect its Services, business, customers, or third parties.

Prokerala may discontinue the availability of some or all Services, APIs, or Data.

Where reasonably practicable, Prokerala will endeavor to provide thirty (30) days' notice before permanently discontinuing a material paid Service.

Such notice is not required where discontinuation or suspension is necessary for security, data protection, legal or regulatory compliance, prevention of fraud or abuse, mitigation of liability, third-party claims, technical emergencies, non-payment, or other circumstances requiring prompt action.

Prokerala may impose limits on certain features or Services or restrict access to some or all APIs, Data, or Services without liability.

Effect of Termination

Upon termination:

  1. all licenses granted to You under these Terms terminate;
  2. Your right to access or use the affected Services ceases;
  3. You shall stop using applicable Access Codes;
  4. upon request, You shall delete Prokerala Confidential Information in Your possession or control, except where retention is legally required; and
  5. You shall delete Data stored pursuant to Your use of the APIs except where retention is expressly permitted by these Terms, the API Documentation, a separate written agreement, or applicable law.

Prokerala may retain Account, transaction, security, billing, audit, backup, and other information where reasonably necessary for legitimate business purposes or required by applicable law.

Termination does not relieve You of accrued payment obligations or other liabilities incurred before termination.

Any provisions which by their nature should survive termination shall survive, including provisions concerning intellectual property, confidentiality, restrictions, payment obligations, disclaimers, indemnification, limitation of liability, and governing law.

Billing, Payments and Refund Policies

Ennexa is committed to making APIs accessible for commercial and non-commercial use. However, providing the APIs has real costs, and Prokerala reserves the right to charge fees for use of or access to the Prokerala APIs.

Prokerala API may be available under Free Plans and Paid Plans. If You are on a Free Plan, You will not be charged a Subscription Fee for that Plan.

When You are on a paid Plan, You shall be charged Subscription Fees based on the Plan You choose.

Unless specified otherwise in a pricing agreement, Subscription Fees are payable in full and in advance on a recurring basis, including every thirty (30) days for a monthly Plan and every three hundred and sixty-five (365) days for an annual Plan, until cancelled or terminated in accordance with these Terms.

By selecting a payment Plan, You agree to pay the applicable monthly or annual Subscription Fees.

Payments may be charged on a prepaid basis on the date You subscribe and on each applicable renewal date.

Subscription Fees may be represented or credited to Your Account as non-convertible, non-refundable, non-sublicensable, non-transferable, and expirable Credit packages having no independent monetary or cash value.

Prokerala reserves the right to determine or change:

  • the number of Credits included with a Plan;
  • the Credit cost of particular API operations;
  • expiration periods;
  • usage limits; and
  • other Plan features.

You agree to pay Subscription Fees using a payment method acceptable to Prokerala.

You authorize Prokerala and its authorized payment processors or agents to charge You in accordance with Your Plan or pricing agreement, including renewals.

Unless otherwise stated in a pricing agreement, payment is due in full on each applicable due date.

You may notify Prokerala of changes to Your payment information by updating Your Account where supported or by contacting billing@ennexa.com.

Unless otherwise agreed in writing, Prokerala reserves the right to change Subscription Fees, renewal terms, Plan features, Credit allocations, and billing methods upon thirty (30) days' notice.

For an existing prepaid Subscription, a change in Subscription Fee will ordinarily take effect upon the next renewal.

If payment is not received when due, Prokerala may:

  1. suspend Your access to and use of the Services until payment is received;
  2. restrict Your Account or Access Codes;
  3. terminate the Subscription; and/or
  4. pursue collection of amounts owed.

You are responsible for taxes, duties, levies, or governmental charges applicable to Your purchase or use of the Services, other than taxes imposed on Prokerala's net income.

Unless otherwise specified in these Terms, required by applicable law, or agreed in writing, all prepaid license fees, Subscription Fees, other fees, and unused Credits are non-refundable.

Prokerala does not provide refunds or Credits for partial use, non-use, unused capacity, expired Credits, or unused portions of a Subscription.

Upgrades and Downgrades

You may upgrade or downgrade between available Plans subject to applicable Plan rules.

You understand that downgrading may result in loss of features, Credits, capacity, limits, or functionality, and Prokerala will not be liable for such loss.

Unless otherwise specified, a downgrade takes effect at the end of the current billing cycle.

Upon upgrade, the new Subscription Fee for the current billing period may be charged on a prorated basis. Subsequent periods will be charged according to the upgraded Plan, and Credits may be adjusted appropriately.

Storage of Data

Caching Data

Where Prokerala Data is cached, You must refresh the cache at least every twenty-four (24) hours unless the applicable API Documentation or a written agreement expressly permits a longer caching period.

Deletion at Termination

Upon termination of the Service or deletion of Your Developer Account, You must delete Prokerala Data stored pursuant to Your use of the APIs except where continued retention is expressly permitted by the API Documentation, these Terms, a separate written agreement, or applicable law.

No Other Storing

You may not copy, permanently archive, scrape, create a database from, or otherwise store Prokerala Data or information expressed by such Data, including transformed or hashed representations designed to circumvent storage restrictions, except to the extent permitted by these Terms, the API Documentation, or a written agreement with Prokerala.

For clarity, this restriction applies to Prokerala Data and does not prohibit You from retaining Your own Your Data independently, subject to applicable law.

Commercial Use

You may charge for Your Application.

However, You may not sell, rent, lease, sublicense, redistribute, syndicate, or provide standalone access to the Prokerala API.

Your Application must provide independent functionality or value beyond merely reselling or exposing the Prokerala API.

Advertising

You may place advertisements on and around Your Application, subject to these Terms and applicable law.

Rate Limits and API Limitations

Prokerala sets and enforces limits on use of the APIs, including limits on requests, Credits, throughput, concurrent requests, endpoints, users, or other resources.

You agree not to exceed, evade, circumvent, or interfere with such limitations.

You must not use the Prokerala API in a manner that exceeds reasonable request volumes, constitutes excessive or abusive use, negatively affects Service operation, or is inconsistent with these Terms or the API Documentation.

If You wish to use an API beyond applicable limits, You must obtain Prokerala's approval or subscribe to an appropriate Plan. Prokerala may decline such requests or condition approval on additional terms or charges.

Unless otherwise agreed in writing, the applicable rate limits and other usage limits are those specified for Your Plan in the Developer Site, API Documentation, dashboard, pricing materials, or other notice provided by Prokerala.

Prokerala may modify rate limits and usage limits associated with a Plan from time to time.

Attribution

All Free Plan users of Prokerala API content must provide attribution by way of a clickable hyperlink to the Prokerala.com website at https://www.prokerala.com/.

The attribution must be reasonably visible to users of Your Application and must not be removed, hidden, obscured, or materially altered.

While paid usage of the Prokerala API is not subject to Your End Users being made aware that Prokerala supplies the functionality used in Your Application, inclusion of a clickable hyperlink to Prokerala.com is appreciated.

Except as expressly permitted for attribution, You may not use the Prokerala Brand in a manner that suggests that You or Your Application is officially sponsored, endorsed, certified, affiliated with, or operated by Prokerala without prior written permission.

Publicity

You grant Us a limited, non-exclusive, non-assignable, non-sublicensable, and non-transferable license during the Duration to display Your trade names, trademarks, service marks, logos, and domain names (collectively, “Your Brand Features”) to promote or advertise Your use of the APIs in Your Application.

Any goodwill in Your Brand Features resulting from Our use will inure solely to You.

Astrology Information and Disclaimer

The Services provide astrology-related calculations, interpretations, reports, data, and information based on astrological systems, algorithms, methods, parameters, and data sources.

Astrology is interpretive in nature. Results may differ depending on calculation settings, astrological traditions, ayanamsa, house systems, geographic information, time-zone information, input data, methodology, and interpretation.

Prokerala does not warrant that astrology information, predictions, interpretations, reports, or calculations will produce any particular event, result, experience, outcome, or benefit.

API responses and astrology information are provided for informational and interpretive purposes and are not a substitute for professional medical, legal, financial, investment, psychological, employment, insurance, or other regulated professional advice.

You are responsible for how You present, interpret, supplement, modify, or use astrology information in Your Application and for any representations You make to Your End Users concerning such information.

You are also responsible for ensuring that the information submitted to the API, including birth date, birth time, location, coordinates, time zone, and other parameters, is accurate and appropriate for the requested calculation.

Indemnification

To the maximum extent permitted by applicable law, You agree to indemnify, defend, and hold harmless Ennexa, Prokerala, their affiliates, and their respective officers, directors, employees, contractors, agents, licensors, service providers, and partners from and against claims, demands, proceedings, damages, losses, liabilities, penalties, judgments, costs, and expenses, including reasonable legal fees, arising out of or relating to:

  1. Your use or misuse of the Prokerala API or Services;

  2. Your Application;

  3. Your breach or violation of these Terms;

  4. Your violation of applicable law;

  5. Your violation of the rights of any third party;

  6. Your collection, use, disclosure, processing, or submission of End User information;

  7. Your failure to obtain required permissions, notices, consents, or lawful authority relating to Your Data or End Users;

  8. any content, representation, advice, product, or service provided by You to Your End Users;

  9. Your modification, presentation, interpretation, or use of Data or API responses; or

  10. claims by Your End Users arising out of or relating to Your Application.

Prokerala reserves the right, at Your expense, to assume exclusive control of the defence or settlement of any matter subject to indemnification.

You shall reasonably cooperate with Prokerala in the defence of such claims and shall not settle any claim in a manner that imposes liability, admission, obligation, or restriction upon Prokerala without Prokerala's prior written consent.

Warranty Disclaimer

The API is provided by Prokerala in good faith. Although Prokerala endeavors to provide useful Services and obtain Data from sources believed to be reliable, Prokerala does not guarantee or warrant:

  1. the accuracy, authenticity, timeliness, reliability, appropriateness, correct sequencing, or completeness of Prokerala API Data & Services;

  2. the correctness of astrology calculations, interpretations, predictions, or outputs for any particular purpose;

  3. that the Prokerala API or Service will be uninterrupted or continuously available;

  4. that the Service will be compatible with Your Application or systems; or

  5. that the Prokerala API Data & Services or API will be free from errors, inaccuracies, defects, vulnerabilities, or other problems.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PROKERALA API, DATA, DOCUMENTATION, AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTY OF ANY KIND.

PROKERALA EXPRESSLY DISCLAIMS ALL EXPRESS, IMPLIED, STATUTORY, AND OTHER WARRANTIES AND CONDITIONS, INCLUDING IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AVAILABILITY, SECURITY, TITLE, QUIET ENJOYMENT, AND NON-INFRINGEMENT.

Some APIs or features may be experimental, beta, preview, or under development and may not have been tested in all circumstances.

Prokerala does not represent or warrant that the API is free of inaccuracies, errors, bugs, interruptions, delays, or omissions or that any defect will be corrected.

Your use of the API and Your reliance on Data or API responses is at Your own discretion and risk.

You are solely responsible for determining whether the Services and their outputs are suitable for Your Application and intended purposes.

No advice or information, whether oral or written, obtained from Prokerala or through the Service creates any warranty or condition not expressly stated in these Terms.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PROKERALA, ENNEXA, THEIR AFFILIATES, LICENSORS, SERVICE PROVIDERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, CONSEQUENTIAL, OR SIMILAR DAMAGES ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS.

WITHOUT LIMITING THE FOREGOING, PROKERALA SHALL NOT BE LIABLE FOR:

  • LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, CUSTOMERS, OR OPPORTUNITY;
  • LOSS, CORRUPTION, OR UNAVAILABILITY OF DATA;
  • BUSINESS INTERRUPTION;
  • COSTS OF SUBSTITUTE SERVICES;
  • FAILURE OR DELAY OF AN API OR THIRD-PARTY SERVICE;
  • CHANGES TO OR DISCONTINUATION OF AN API;
  • SECURITY INCIDENTS NOT DIRECTLY CAUSED BY PROKERALA'S BREACH OF AN EXPRESS OBLIGATION UNDER THESE TERMS;
  • UNAUTHORIZED USE OF YOUR ACCESS CODES;
  • ERRORS CAUSED BY YOUR DATA OR APPLICATION;
  • ANY DECISION, ACTION, OR OMISSION BASED UPON ASTROLOGY INFORMATION OR API OUTPUTS; OR
  • CLAIMS ARISING FROM YOUR RELATIONSHIP WITH YOUR END USERS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PROKERALA'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES, THESE TERMS, OR YOUR USE OF THE PROKERALA API SHALL NOT EXCEED THE TOTAL SUBSCRIPTION FEES ACTUALLY PAID BY YOU TO PROKERALA FOR THE AFFECTED SERVICE DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

IF YOU HAVE NOT PAID ANY SUBSCRIPTION FEES DURING THAT PERIOD, PROKERALA'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED INR 1,000.

THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE FORM OR THEORY OF LIABILITY, INCLUDING CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, STATUTE, OR OTHERWISE, AND EVEN IF PROKERALA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

These exclusions and limitations apply only to the extent permitted by applicable law.

Force Majeure

Prokerala shall not be liable for any delay, interruption, failure, degradation, or inability to perform caused by circumstances beyond its reasonable control, including:

  • natural disasters;
  • fire, flood, earthquake, epidemic, or pandemic;
  • war, terrorism, civil disturbance, or governmental action;
  • labour disputes;
  • power or telecommunications failures;
  • internet or network disruption;
  • cloud, hosting, infrastructure, or third-party service failures;
  • cyberattacks or denial-of-service attacks;
  • changes in law or regulatory requirements; or
  • other events beyond Prokerala's reasonable control.

Prokerala may suspend affected obligations for the duration of such circumstances.

Governing Law and Jurisdiction

Any dispute arising out of these Terms, the documents incorporated by reference, or Your use of the Service shall be governed by and construed in accordance with the laws of India, without regard to conflict-of-law principles.

You consent to the exclusive jurisdiction of the competent courts at Kottayam, Kerala, India for disputes arising out of or relating to these Terms or the Service.

General

Changes to These Terms

Prokerala reserves the right to modify these Terms from time to time.

Updated Terms may be published at https://api.prokerala.com/tos or another location communicated by Prokerala.

Prokerala may provide additional notice of material changes where reasonably appropriate or required by applicable law.

Unless otherwise stated, modifications become effective when published or on the effective date specified with the updated Terms.

Your continued use of the Service after the effective date of modified Terms constitutes acceptance of the modified Terms.

If a modification is unacceptable to You, Your remedy is to discontinue use of the Service.

Notices

Prokerala may provide notices to You through the Developer Site, Your Account, dashboard, email address associated with Your Account, API Documentation, or other reasonable electronic means.

You are responsible for maintaining current contact information in Your Account.

Assignment

You may not assign, delegate, transfer, sublicense, or otherwise dispose of Your rights or obligations under these Terms without Prokerala's prior written consent.

Prokerala may assign or transfer these Terms, in whole or in part, without Your consent, including to an affiliate or in connection with a merger, restructuring, financing, acquisition, sale of assets, or transfer of all or part of its business.

Severability

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permitted by law and the remaining provisions shall remain in full force and effect.

Waiver

Failure by Prokerala to exercise or enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

Any waiver must be expressly made in writing by an authorized representative of Prokerala.

No Third-Party Beneficiaries

Except as expressly provided in these Terms, these Terms do not confer rights or remedies upon any person other than You and Prokerala.

Your End Users are not third-party beneficiaries of these Terms.

Entire Agreement

These Terms, together with the Privacy Policy, applicable API Documentation, Your Plan, and any pricing or other written agreement expressly incorporated into these Terms, constitute the agreement governing Your use of the applicable Services.

If a separate written agreement signed or expressly accepted by Prokerala states that its provisions override these Terms, that agreement shall control to the extent of the conflict.

Otherwise, these Terms control over inconsistent terms contained in purchase orders, customer procurement documents, correspondence, or other documents supplied by You.
